To facilitate the smooth processing of documents filed during the application for articles of incorporation, the secretary of state for Missouri has established a special arm of government that deals specifically with these processes. This office deals with all forms of organizations ranging from corporate, nonprofit, partnerships to limited liability companies. They also facilitate the incorporation of companies within the state, but physically operate outside its borders. Companies operating outside of the state's borders must have an agent within the state that is available at all times at the request of the secretary of state to answer all queries they have about the organization.
Applicants first choose what the state refers to as a DBA. This is an acronym for the name chosen by the organization and state the organization is “Doing Business AS” such a company. This name must be nonexistent in the state's files and accompanied by the word company, corporation, limited or incorporated. Once approved it is stored and if not used for a maximum of 180 days it is struck from the system.
The next phase moves to making the application for your articles of incorporation to the secretary of state. This process requires you to complete an application form requesting some basic information about the organization. This includes the name, address, number of directors, purpose of the organization and the amount of shares it distributes.
