The state of North Dakota has established clear guidelines for the path to follow when incorporating within the state. This process involves four basic steps.
- The first step involves choosing a unique name for the organization. This name must in no way depict any other organization and be capable of passing the state’s name record test. It must have either of the words 'company,' 'corporation,' 'incorporated,' or 'limited' to give the status of the organization. The name is then stored on behalf of the organization for further processing.
- The second step involves appointing an agent. This person acts as a conduit of information flow between the organization and Secretary of State. The agent must be prepared to answer any questions the state has about the organization. They also must make themselves available at all times within the state during normal working hours.
- The third step involves appointing an incorporator for the organization. This individual may also act as an agent and is responsible for signing all documentation on the company’s behalf. Once the company is incorporated, the agent relinquishes these duties.
- The forth step involves the completion of the prescribed application forms. The form number depends on the type of company you are going to create. These forms ask for information on the incorporators who must be at least 18 yrs old, the address and name of the organization and its agent. Even if the company operates outside of the state, its agent must be within the state. The forms also request information on the directors of the organization.
