Filing Articles of Incorporation

Once the desired company name is approved, the next step is filing articles of incorporation with the South Dakota Secretary of State. This state approved document will require certain information such as:
  • The approved business name
  • The name and street address of the company's initial registered agent: who must be available during regular business hours to answer any queries from the office of the Secretary of State regarding the entity
  • Purpose of business
  • Name, address and verified signature of the initial incorporator (s)
  • Number of Directors
  • The size of the company's share of stock with par value

Filing Fees

After filling out the required forms relevant to type of organization being formed, applicants then submit their articles of incorporation with the Secretary of State and pay an initial filing fee of $125. Normal processing time is normally within a 2 to 3 week period, but can be accelerated by utilizing the state's express service that takes 1 to 5 working days at an additional cost. The other factor that may affect the final incorporation fees is the amount of stock offered by the organization.
